Seller & Partner Agreement (Partner Pharmacies and Supply Companies)

1. Your status and responsibilities

You are an independent licensed business and solely responsible for your licences, the source, legal import and registration of products, their conformity, expiry and batches, storage and cold chain until handed to the driver, and the accuracy of names, prices and stock you enter. You will not list counterfeit, smuggled, expired, unregistered or specially controlled items. You bear any claims, fines or damage to customers or Areeb caused by your products, data or failures, and you will indemnify Areeb for them including reasonable legal fees. You will cooperate at your cost in any batch recall.

2. Listing and orders

The platform may show customers the best available price in their city; no sales volume is guaranteed. Prepare confirmed orders within the stated time and keep stock up to date. You are responsible for the barcode and name you submit.

3. Commission, collection and settlement

Areeb collects payment from customers and earns a commission at the rate set for your account (or the default rate) on item value. You are owed the net value of delivered orders after commission, paid periodically against a payment voucher. The portal statement is the settlement reference unless disputed in writing within 7 days. Accepted returns or compensation caused by your products may be deducted.

4. Logins and data

You are responsible for your staff logins and their permissions. Customer data you see may be used only to prepare the order.

5. Term

Until terminated by either party on 15 days' notice, or immediately for material breach. Financial, indemnity and confidentiality obligations survive.

6. Law

Libyan law; courts of طرابلس.
